Membership Agreement

This document sets forth the Agreement between DIONZ (defined below) and its Member (defined below) regarding the use of DIONZ’s web service, mobile application, online content, virtual events and services, in-person events and services and any other DIONZ products and services.

1. General

DIONZ AG is a company incorporated under Swiss Law in Zug, Switzerland, at Chamerstrasse 172, 6300 Zug, Switzerland, hereafter “DIONZ”. 

Potential members who enter into the Membership Agreement (defined below in this Section) with DIONZ become a “Member” and are entitled to the services provided by DIONZ as set forth under Services (defined in Section 4). The word “DIONZ Member”, “Member” or “Membership” refers to the status as a Member of the DIONZ Ecosystem (defined in Section 4). 

This “Membership Agreement” (“Agreement”) forms the basis of the contract governing the Membership Subscription (defined in Section 2), and the rights and obligations arising therefrom.

All DIONZ Members have received, reviewed, and accepted this Membership Agreement. If you are a potential member and you do not agree with this Agreement, please do not become a DIONZ Member and do not use any DIONZ Services.

2. Membership Subscription

DIONZ Members subscribe to receive Membership Services (defined in Section 4) during a Membership Term (defined in Section 6) by paying a Membership Fee (defined in Section 8) (“Membership Subscription”). 

3. Membership Plans

Potential members have the choice to subscribe to one out of the five (5) below-listed “Membership Plans”, each comprising different Membership Services (defined in Section 4), different Membership Terms (defined in Section 6) and priced differently (defined in Section 8):

  1. Sneak Peek Membership; 

  2. Light Membership; 

  3. Full Access Membership; 

  4. Exclusive Membership; and, 

  5. Younger than 25 Membership.

The Younger than 25 Membership is only available for purchase to potential members who are younger than twenty-five (25) years old. 

4. Membership Services

DIONZ Members obtain access to the “DIONZ Ecosystem” through the DIONZ app (on web and on mobile through iOS or Android) for the duration of the Membership Term (defined in Section 6). The services (“Membership Services” or “Services” vary according to the different Membership Plans. 

4.1 DIONZ Members’ Community

Access to the DIONZ Members’ Community Space varies according to the different Membership Plans (see Section 4.3 below). 

4.2 Events

DIONZ organises the below-listed Event types, some of which come at an additional fee. The ability to participate in certain or all Events and whether or not additional fees are payable vary according to the different Membership Plans (see Section 4.3 below). When fees are applied, they vary depending on the speaker, duration, location and venue of the event. If included in their Membership Plan, Members can both register for participation in an Event and pay applicable fees through the DIONZ app. 

  1. Topic-Focused Virtual Meet & Greets: knowledge-sharing sessions where Members can connect with other Members on a specific topic. These sessions take place on a monthly basis. Their duration is sixty (60) minutes, although this may vary depending on the topic, format and time of the event. 

  2. In-Person Meet & Greets: sessions designed for Members to connect with other Members who live in or are visiting their same city. These sessions take place once every two (2) months in different cities, the choice of which is at DIONZ’s sole discretion. Their duration varies depending on the format, time and location of the event.

  3. Virtual Members’ Ateliers: sessions designed for Members to learn from the knowledge, experience and know-how of one of the other Member. These sessions take place on a monthly basis. Their duration is sixty (60) minutes, although this may vary depending on the topic, format and time of the event. 

  4. In-Person Members’ Ateliers: sessions designed for Members to learn from the knowledge, experience and know-how of one of the other Member. The frequency of these sessions varies according to the availability and location of host Members. Their duration varies depending on the format, time and venue of the event.

  5. Learning Experiences: sessions taught by exceptional individuals and organisations at the forefront in their respective areas of expertise. These sessions take place once every three (3) months and amount to a total of four (4) per year. Their duration is ninety (90) minutes, although this may vary depending on the topic, format, time and location of the Event. They may take place virtually or in person; their location varies according to the location of the speaker(s) and/or organisation(s). 

  6. Conscious Breathing Sessions: sessions where Members are taught and practice conscious breathing based on kundalini yoga teachings and other meditation techniques. These sessions take place on a monthly basis. Their duration is thirty (30) minutes, although this may vary from time to time. 

  7. Summits: attendance to different summit-style events, whether organised by DIONZ or another organisation, taking place all over the globe. The design, duration, format and frequency of Summit Events vary for each Summit. 

  8. Exclusive Events: these are events and activities organised for Members that subscribe to the Exclusive Membership. 

DIONZ reserves the right to add and remove Event(s) and amend or vary the frequency, speaker, duration, format and/or location or venue of any of the Events at its complete discretion. 

4.3 Members’ Services and Benefits of Each Membership Plan

Members that subscribe to the Sneak Peek Membership receive the following Membership Services:

  1. Access to the following Events at no additional fee:

    1. Topic-Focused Virtual Meet & Greets; and,

    2. Conscious Breathing Sessions.

Members that subscribe to the Light Membership receive the following Membership Services:

  1. Access to the following Events at no additional fee:

    1. Topic-Focused Virtual Meet & Greets;

    2. One (1) In-Person Meet & Greets;

    3. Virtual Members’ Ateliers; and,

    4. Conscious Breathing Sessions.

  2. Access to the following events at an additional fee, which varies for different Events: 

    1. In-Person Meet & Greets; and,

    2. Virtual and in-person Learning Experiences. 

Members that subscribe to the Full Access Membership receive the following Membership Services:

  1. Access to the Members’ Community Space through the app and web.

  2. Access to the following Events at no additional fee: 

    1. Topic-Focused Virtual Meet & Greets;

    2. Three (3) In-Person Meet & Greets;

    3. Virtual Members’ Ateliers;

    4. Three (3) In-Person Members’ Ateliers;

    5. One (1) Learning Experience; and, 

    6. Conscious Breathing Sessions.

  3. Access to the following events at an additional fee, which varies for different Events: 

    1. In-Person Meet & Greets; 

    2. In-Person Members’ Ateliers;

    3. Virtual and in-person Learning Experiences; and, 

    4. Summits. 

Members that subscribe to the Exclusive Membership receive the following Membership Services:

  1. Access to the Members’ Community Space through the app and web; and,

  2. Access to an exclusive virtual space in the DIONZ app designed for and accessible only by Members that subscribe to the Exclusive Membership. 

  3. Access to the following Events at no additional fee: 

    1. Topic-Focused Virtual Meet & Greets;

    2. In-Person Meet & Greets;

    3. Virtual Members’ Ateliers;

    4. In-Person Members’ Ateliers;

    5. Learning Experiences;

    6. Conscious Breathing Sessions;

    7. Some Summit Events; 

    8. Some Exclusive Events;

    9. Advisory, consulting and mentorship services by Elena Zafirova; and, 

    10. Curated introductions to individuals (both DIONZ Members and non-Members) facilitated by DIONZ, provided that all parties consent to such introductions. 

  4. Access to the following Events and Services at an additional fee, which varies for different Events: 

    1. Summits; 

    2. Exclusive Events; and,

    3. Advisory services regarding leadership programs delivered by DIONZ through Harvard Business School or by Harvard Business School. 

Members that subscribe to the Younger than 25 Membership receive the following Membership Services:

    1. Access to the Members’ Community Space through the app and web.

    2. Access to the following Events at no additional fee: 

      1. Topic-Focused Virtual Meet & Greets;

      2. Three (3) In-Person Meet & Greets;

      3. Virtual Members’ Ateliers;

      4. Three (3) In-Person Members’ Ateliers;

      5. One (1) Learning Experience; and, 

      6. Conscious Breathing Sessions.

    3. Access to the following events at an additional fee, which varies for different Events: 

      1. In-Person Meet & Greets; 

      2. In-Person Members’ Ateliers;

      3. Virtual and in-person Learning Experiences; and, 

      4. Summits. 

DIONZ reserves the right to amend, vary or withdraw the Membership Services associated with different Membership Plans at its complete discretion. 

5. Membership Acceptance Conditions Precedent

The DIONZ Membership is subject to:

  • The approval and confirmation of the Membership Subscription by DIONZ. Please note that, before the Membership Fees are due, DIONZ is not obliged to accept any potential member and may reject the application of any potential Member without giving any reasons; 

  • The acceptance and acknowledgement of this Membership Agreement; and

  • The payment of the Membership Fee as set forth below in Section 8.

6. Membership Term 

Two of the Membership Plans, allow potential members to choose between an annual and monthly subscription term. Depending on their choice, the “Membership Term” is either an annual or monthly subscription term. The Membership Term per Membership Plans is as follows:

  1. The Sneak Peek Membership has a monthly Membership Term which runs for thirty (30) consecutive days. The Membership Term commences when the potential member completes the Membership Subscription. 

  2. The Light Membership has both an annual Membership Term which runs for twelve (12) consecutive months and a and monthly Membership Term which runs for thirty (30) consecutive days. The Membership Term commences when the potential member completes the Membership Subscription. 

  3. The Full Access Membership has an annual Membership Term which runs for twelve (12) consecutive months. The Membership Term commences when the potential member completes Membership Subscription. 

  4. The Exclusive Membership has an annual subscription term which runs for twelve (12) consecutive months. The Membership Term commences when the potential member completes the Membership Subscription. 

  5. The Younger than 25 Membership has an annual subscription term which runs for twelve (12) consecutive months. The Membership Term commences when the potential member completes the Membership Subscription. 

For Members who subscribed to DIONZ prior to 8 December 2022, their first-year Term remains unchanged as per the previously existing version of the Membership Agreement. 

6.1 Trial Period

Members who subscribe to the Full Access Membership or Younger than 25 Membership have a three (3) day trial period (“Trial Period”) of the DIONZ Ecosystem, which commences when the potential Member completes the Membership checkout process as part of the Membership Subscription. During the Trial Period, Members may cancel their subscription at no charge anytime prior to the ending date of the Trial Period directly through the DIONZ app. 

7. Membership Renewal

The Membership Term will continue to automatically renew on an annual or monthly recurring basis unless and until a Member cancels their Membership Subscription, or their Membership is otherwise suspended or terminated pursuant to this Agreement. Three (3) days in advance of the renewal, Members will receive an email notification informing them that their Membership will be renewed and their credit card will be automatically charged. 

8. Membership Fees

The “Membership Fees” for the different Membership Plans are as follows: 

  1. Sneak Peek Membership: CHF 48 monthly.

  2. Light Membership: CHF 95.20 monthly or CHF 800 annually.

  3. Full Access Membership: CHF 1,900 annually.

  4. Exclusive Membership: CHF 2,900 annually.

  5. Younger than 25 Membership: CHF 400 annually. 

The Membership Fees are in Swiss Francs (CHF), excluding the applicable indirect taxes (e.g. VAT, sales tax), unless otherwise stated. The Membership Fee is payable in Swiss Francs (CHF) after the three (3)-day Trial Period, if relevant. The Membership Fees will automatically be charged to the credit card provided by the Member in the Membership checkout process on an annual or monthly recurring basis. Membership Fees are non-refundable, except as set forth in Section 9.

DIONZ reserves the right to increase and/or decrease the Membership Fee before the commencement of a new Membership Term. If existing Members are impacted by a change of the Membership Fee, the relevant Members will be informed in writing at a minimum 30 (thirty) days in advance of the change being implemented by DIONZ and will have the option to decide if to renew their Membership as per Section 7.

9. Membership Cancellation

Members can cancel their Membership at any time prior to the end of the current Membership Term. To cancel their Subscription, Members can contact member@dionz.org or cancel their Membership themselves through the DIONZ app. Cancellation will take effect at the end of the Member’s current Membership Term. Simply deleting the app, or ceasing to sign into the DIONZ app will not cancel a Member’s Membership.

Once the Trial Period is over, DIONZ is not required to refund the Membership Fees which are due for the current Membership Term under any circumstances.

10. Membership Termination and Suspension

DIONZ may terminate and/or suspend the Membership of any Member in writing by email or another manner at any time at its sole direction in the case of misbehaviour, gross negligence, disobedience of this Membership Agreement or disrespect of the DIONZ Code of Alignment or Community Guidelines (defined in Section 11). The termination or suspension is effective as per the date of its written issuance by DIONZ. Membership Fees will not be refunded in the case of termination or suspension. 

11. Code of Alignment & Values and Community Guidelines

Members are expected to adhere to and respect the DIONZ Code of Alignment & Values (“Code of Alignment”) and the DIONZ Community Guidelines (“Community Guidelines”) as posted on the DIONZ website and on the DIONZ app. The Code of Alignment and Community Guidelines form the basis of DIONZ’s principles and core values. Members are requested to treat others within the DIONZ Ecosystem with the highest standards of dignity, integrity and respect. 

12. Data Protection

DIONZ holds and processes the personal information of Members that DIONZ receives from the Members or from third parties in the context of the provision of the Services.

DIONZ processes personal information exclusively in a lawful manner and based on the following legal grounds, as established by the General Data Protection Regulation (“GDPR”): (i) in connection with the contractual relationship with the Member in general and in particular for the performance of the Services, (ii) for the fulfilment of DIONZ’s legal obligations, (iii) consent-based, e.g. marketing campaigns, surveys, etc., or (iv) to protect the legitimate interests of DIONZ, e.g. assertion and enforcement of legal claims, protection of own assets, ensuring IT security, etc.

DIONZ may make such information available to other companies in its group and third parties who provide products or services to the Company, such as Mighty Software Inc., other software service providers, entertainment venues, food and beverage venues, hotels, etc. Such recipients are partly in Switzerland and/or the EU/EEA, but may also be in other areas, including in countries that lack an adequate level of data protection according to the Swiss Federal Data Protection and Information Commissioner, and/or in countries not covered by an adequacy decision of the European Commission. In such cases, to the extent necessary for the data transfer in question, appropriate contractual safeguards are agreed on with the corresponding recipients in the form of clauses/agreements approved by the Federal Data Protection and Information Commissioner and/or in the form of standard data protection clauses issued by the European Commission. DIONZ will provide the Member with copies of the approved clauses/agreements and/or standard data protection clauses upon request.

DIONZ will not monetise the Members’ data or information in any way or form. 

13. Intellectual Property

All content produced by DIONZ or shown in DIONZ’s marketing materials, on the website, the DIONZ app, and in particular, videos, designs, drawings, text, graphics, logos, icons, buttons, software, trade names, trademarks or any other signs protected by intellectual property rights or publicity rights, are owned by DIONZ, or third parties with whom DIONZ has reached an agreement for its exploitation (collectively, “Content”).

All intellectual property rights regarding the Contents and/or Services of the website, the DIONZ app and the Membership are reserved and, in particular, it is prohibited to modify, copy, reproduce, communicate to the public, make available, transform or distribute, by any means and in any form, the website, the DIONZ app and/or all or part of the Content included in the website, the DIONZ app and the marketing materials. None of the Content may be downloaded, reproduced or used in any other device or place, unless the means for doing so has been consented by DIONZ.

14. Liability

Member Insurance: Insurance (third-party liability, health insurance, etc.) is the responsibility of the Member. Each Member is liable for all injury to persons or damage to property they cause, in particular, when attending a Learning Experience organised by DIONZ.

Liability of DIONZ: DIONZ’s liability to the Member is limited to diligent performance of the Services and DIONZ does not assume any liability for a specific result of the Services. In particular, DIONZ does not guarantee that the participation in a Membership Service will lead to an increase in possibilities of employment, salary rise, business opportunities or other personal or professional improvements, nor that the execution of the Membership Services or the making available of its content will be done continuously and indefinitely.

DIONZ shall only be liable to its Members in cases of gross negligence, willful intent, bodily damage, or where such liability limitation is not permitted by the applicable law. All further liability is hereby expressly excluded, including any liability for auxiliary persons of DIONZ.

For the avoidance of doubt, DIONZ’s liability to its Members does not extend to any Membership-related benefits, goods or services provided by an external provider. DIONZ specifically excludes liability for any loss or damage suffered by a Member as a result of their involvement in whatever manner with an external provider.

Accuracy of Information: DIONZ strives to ensure that the content and information made available to Members are accurate. However, neither DIONZ nor the respective authors can fully guarantee that all content and information is accurate and up-to-date at all times and shall not be held liable for the accuracy of their communications and publications.

15. Force Majeure

Neither party shall be liable to the other for any delay or non-performance of its obligations by reason of matters beyond its reasonable control including, but not limited to, any act of terrorism, war, riot, civil commotion, compliance with any law or government order, fire, flood or storm, strikes, other natural disasters and pandemics or any other industrial dispute, delay in transit, power failure, postal delay, or any event that cannot be reasonably be planned for or avoided. The affected party shall notify the other party within a reasonable time span of such impediment. If the impediment lasts longer than three months, the impeded party has the right to terminate the contract without any claims for compensation or damages from the other party.

16. Confidentiality

Both DIONZ and Members agree to keep confidential all personal information learned or obtained through the DIONZ Ecosystem.

Moreover, if a Member is concerned about the confidentiality of their information, DIONZ shall keep confidential any Member-specific information communicated by Members to DIONZ in connection with the provision of its Services that is: (i) clearly marked confidential if provided in written form, or (ii) preceded by a statement that such information is confidential, if provided in oral form, and such statement is confirmed in writing by the Member within 15 days of its initial disclosure.

This obligation of confidence shall not apply to any information that: (i) is in the public domain at the time of its communication; (ii) is independently developed by DIONZ or Members; (iii) entered the public domain through no fault of DIONZ or its Members subsequent to the Members’ communication to DIONZ; (iv) is in DIONZ’s possession free of any obligation of confidence at the time of the Members’ communication to DIONZ; or (v) is communicated by the Member to a third party free of any obligation of confidence. Additionally, DIONZ may disclose such information to the extent required by legal process.

17. Members’ Best Interest Undertaking 

DIONZ undertakes to act at all times in the best interest of each and every Member. DIONZ undertakes to avoid any conflict of interest. 

18. Governing Law and Jurisdiction

The legal relationship between DIONZ and its Members shall in all respects be governed exclusively by Swiss substantive law, to the exclusion of the Vienna Convention on the International Sale of Goods.

The courts of the city of Zug, Switzerland shall have exclusive jurisdiction to settle any dispute or claim arising out of this Agreement. For Members with a non-Swiss domicile, an additional place of debt enforcement is established in the city of Zug, Switzerland (a special domicile within the meaning of art. 50(2) of the Federal Act on Debt Enforcement and Bankruptcy).

19. Variations to this Agreement

DIONZ reserves the right to amend the terms of this Agreement at any time in its sole discretion. The amendments will be effective after DIONZ sends Members notice of such amendments. The manner of communication of such notice will be in DIONZ’s sole discretion, and includes email or posted notice on the DIONZ app, or another manner. The amendments shall be deemed to have been accepted by the Member unless an objection is raised in writing within 15 days after the notification. Members may exit the Membership Agreement if they do not accept the proposed variation(s).

20. Severability 

If any court or competent authority decides that any of the provisions of the Membership Agreement are invalid, unlawful or unenforceable to any extent, the remaining provisions shall continue to be valid to the fullest extent permitted by the law. Such invalid, unlawful or unenforceable provision shall be replaced with a valid provision that most closely approximates the economic purpose of the invalid provision.

21. Entire Agreement

This Membership Agreement and any policies in respect to the Services, as published in the DIONZ app, constitute the entire Agreement and understanding between the Members and DIONZ. Upon agreeing to and accepting this Agreement, the Member confirms that they have not relied on any prior or side statement, agreement, or representation, whether these were oral or written, to enter into this agreement with DIONZ.

23. Disclaimer

DIONZ is a private company, it is not a credited public or private university, college or educational entity. The Services provided are in no way intended to replace obligatory or secondary education.
